Agreement

By downloading, installing, or using IntelliNote (“the App”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the App.

Description of Service

IntelliNote is an AI-powered research notebook application for iOS, iPadOS, and macOS. It provides note-taking, portfolio tracking, topic tracking, AI-assisted analysis, and related features.

Bring Your Own Key (BYOK) Model

IntelliNote uses a BYOK model for AI and data services. You are responsible for:

  • Obtaining your own API keys from third-party providers (OpenAI, Anthropic, Google, Mistral, GNews, Reddit, X/Twitter, Polygon.io, etc.)
  • Complying with the terms of service of each third-party provider
  • Managing your own API usage and costs — IntelliNote does not control, monitor, or limit your API consumption
  • Securing your API keys — while IntelliNote stores keys in the iOS Keychain, you should not share your device or keys with unauthorized persons

We are not responsible for any charges, fees, or costs incurred from your use of third-party APIs.

Subscriptions

Subscription Plans

IntelliNote offers optional subscription plans (Pro and Premium) that unlock additional features. Subscriptions are billed monthly through the Apple App Store.

Auto-Renewal

Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period.

Managing Subscriptions

You can manage or cancel your subscription at any time through:

  • iPhone/iPad: Settings → [Your Name] → Subscriptions
  • Mac: App Store → Account → Subscriptions

Free Trial

If a free trial is offered, the unused portion of the trial is forfeited when you purchase a subscription.

Price Changes

Subscription prices may change. You will be notified in advance of any price changes. Continued use after a price change constitutes acceptance of the new price.

Financial Data Disclaimer

IntelliNote is not a financial advisor. The App provides tools for aggregating and analyzing publicly available financial data. Specifically:

  • Market data, prices, and news are sourced from third-party providers and may be delayed or inaccurate
  • AI-generated summaries and analyses are for informational purposes only and should not be construed as investment advice
  • Portfolio tracking features are for personal record-keeping and do not constitute financial planning
  • Sentiment analysis is algorithmic and may not reflect actual market conditions
  • Alert rules and notifications are informational tools, not trading signals

You are solely responsible for your investment decisions. Always consult a qualified financial advisor before making investment decisions.

Intellectual Property

Your Content

You retain all rights to the content you create in IntelliNote (notes, pages, workspaces, etc.). We do not claim any ownership over your content.

Our Software

IntelliNote and its original content, features, and functionality are owned by Liqun Chen and are protected by international copyright, trademark, and other intellectual property laws.

Acceptable Use

You agree not to:

  • Use the App for any illegal purpose
  • Attempt to reverse-engineer, decompile, or disassemble the App
  • Circumvent any subscription or feature restrictions
  • Use the App to transmit malware, spam, or harmful content through webhooks or other features
  • Violate the terms of service of any third-party API provider through your use of the App

Limitation of Liability

To the maximum extent permitted by applicable law:

  • The App is provided “AS IS” and “AS AVAILABLE” without warranties of any kind
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not liable for any loss of data, profits, or business opportunities
  • We are not responsible for the availability, accuracy, or content of third-party services
  • We are not responsible for any financial losses resulting from decisions made using information displayed in the App
  • Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim

Data and Privacy

Your privacy is important to us. Please review our Privacy Policy for details on how the App handles your data.

Summary: We do not collect, store, or have access to any of your personal data, content, or API keys. Everything stays on your device or in your private iCloud account.

Termination

We reserve the right to terminate or suspend access to the App at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated “Last Updated” date. Your continued use of the App after changes constitutes acceptance of the revised Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.
